Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Tempus Prive UG (doing business as Tempus Privé) ("we", "us", or "our"), concerning your access to and use of the Tempus Privé platform and services.

By accessing or using our Services, you agree that you have read, understood, and agree to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

1. About Tempus Privé

Tempus Privé is a digital auction platform exclusively for luxury watch collectors. We provide a curated marketplace connecting authenticated timepieces from verified dealers and private collectors with authenticated buyers through live-streamed auction events.

Our Role:

• —We act as an auctioneer and intermediary between consignors and buyers
• —We do not own the watches offered for sale unless explicitly stated
• —We provide authentication services through independent watchmakers and in-house specialists
• —Private Client Advisors provide white-glove service throughout the process

2. Eligibility and Account Registration

Age Requirement: You must be at least 18 years of age to use our Services.

Geographic Restrictions: Our Services are available worldwide except in countries or regions subject to international sanctions.

Account Creation: To participate in auctions, you must:

• —Complete the membership application process
• —Provide accurate and complete information
• —Successfully complete KYC verification
• —Pay the refundable deposit of €500
• —Maintain only one account per person

3. KYC Verification and Compliance

To participate in auctions and place bids, you must complete our Know Your Customer (KYC) verification process. This is required to comply with Anti-Money Laundering (AML) regulations.

You must provide:

• —Government-issued identification (passport, driver's license, or national ID card)
• —Proof of address
• —Verification selfie/photo

Identity verification is conducted through our partner Veriff. All automated verification results are manually reviewed by our compliance team before final approval.

Data Retention: KYC documents and verification data are retained for 7 years from account closure as required by AML regulations.

4. Refundable Deposit

To participate in auctions, you must pay a refundable deposit of €500.

Payment Methods: Credit/debit card, Cryptocurrency, Bank transfer (SEPA or SEPA Instant)

Deposit Refund: You may request a refund at any time if you have no active bids or pending transactions. Refunds are processed within 7-14 business days.

Deposit Forfeiture: Your deposit may be used to cover non-payment penalties (10% hammer price fee), damages caused by violation of Terms, or fines assessed for rule violations.

5. Auction Mechanics and Bidding Rules

Ascending Bid Auctions: All auctions are conducted in ascending bid format.

Minimum Bid Increment: Each bid must exceed the current highest bid by a minimum of €100.

Reserve Price: All lots have a visible reserve price. A lot will not be sold if bidding does not reach the reserve.

Bid Retraction: Bids cannot be retracted. Once you place a bid, it constitutes a binding commitment to purchase.

Anti-Sniping Protection: If a bid is placed in the final moments, the auction time will automatically extend.

6. Buyer's Premium and Fees

In addition to the hammer price, the winning bidder pays a Buyer's Premium:

Transaction Fees: We pay all transaction fees. You are not charged additional fees for payment processing.

7. Payment Terms

Payment Deadline: Payment must be completed within 3 business days of winning the auction.

Accepted Methods: Bank Transfer (SEPA or SEPA Instant), Cryptocurrency

Non-Payment Consequences: Failure to pay results in a 10% penalty of the hammer price, potential account suspension or ban, and legal action to recover amounts owed.

8. Authenticity Guarantee

We provide an unconditional authenticity guarantee. Every watch sold through Tempus Privé is guaranteed to be genuine.

All watches are authenticated by independent certified watchmakers and/or in-house specialists. We maintain a zero percent tolerance for counterfeit watches.

If a Fake is Discovered: Immediate investigation, return arrangement, and full refund including hammer price, Buyer's Premium, and all associated costs.

9. Returns and Refunds

Auction sales are excluded from the 14-day statutory right of withdrawal under EU consumer protection law. Sales are final upon confirmation of handover.

Discretionary Returns: We may consider returns for material misrepresentation, authenticity concerns, or significant undisclosed defects.

10. Prohibited Conduct

The following activities are strictly prohibited:

• —Money laundering, fraud, or misrepresentation
• —Shill bidding, collusion, or price manipulation
• —Creating multiple accounts or account sharing
• —Non-payment for won auctions
• —Harassment or off-platform deals

Zero Tolerance: Counterfeit watches, money laundering, fraud, and harassment result in immediate account termination and may be reported to authorities.

11. Disputes and Resolution

Internal Resolution: Contact your Client Advisor first, then support@tempusprive.com for escalation.

Governing Law: These Terms are governed by the laws of Germany.

Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts of Frankfurt am Main, Germany.

12. Termination

By You: You may request account termination at any time after completing all pending transactions.

By Us: We may terminate your account for violation of Terms, fraudulent activity, non-payment, or at our sole discretion with notice.
